Welcome to the eServices for filing exempt sales reports under Registration exemption for trades in certain prospectus-exempt distributions. Filing your information in a timely way is a condition of using the Northwestern exemption. Please refer to the local rules made in British Columbia, Alberta, Saskatchewan, Manitoba, Nunavut, the Northwest Territories, and the Yukon Territory for more information. A general description of Registration exemption for trades in certain prospectus-exempt distributions appears below.

The Commission has ordered that a person is exempt from the dealer registration requirement when trading securities during distributions of securities under the following prospectus exemptions in National Instrument 45-106 Prospectus and Registration Requirements:

  • accredited investor (section 2.3),
  • family, friends, and business associates (section 2.5),
  • offering memorandum (section 2.9), and
  • minimum purchase (section 2.10)

The exemption is not available if a person is registered, or required to be registered, in any category in any jurisdiction, including foreign jurisdictions. Consequently, an exempt market dealer registered in Ontario, Québec, Nova Scotia, New Brunswick, Prince Edward Island, or Newfoundland and Labrador (the registration jurisdictions) and wishing to trade prospectus-exempt securities in any of the Northwestern jurisdictions cannot rely on this exemption. Instead, that exempt market dealer must register as such in any of the Northwestern jurisdictions in which it carries on business.

A market participant that relies on this exemption must file an information notice with the Commission within 10 business days under the exemption. The report provides basic information about who is in the business of trading these prospectus exempt securities.

The notice must be complete and accurate as at the time of the trade. If any of the information in the notice changes, the market participant must file a new, correct notice, again within 10 business days of the trade for which it next relies on the exemption.

  1. Determine if the firm you are filing for has submitted previous reports
  2. If this is the initial Exempt Sales Filing report for the firm, enter information on the following:
    1. firm name
    2. branch
    3. salesperson
    4. responsible individual
  3. If this is a subsequent Exempt Sales Filing report for the firm, confirm or edit the following information:
    1. firm name
    2. branch
    3. salesperson
    4. responsible individual
  4. Submit exempt sales filing report

If you are the sole proprietor of your business, you are the "firm" for the purpose of filing an exempt sales filing report.
